Corporate Governance
At Gammon Gold, we believe strongly that good corporate governance is critical to the company's long-term success and the protection of the interests of our many stakeholders. Our policies and practices are consistent with Gammon Gold's vision of being the most professional exploration and mining company in the world. Since 2002, there has been an increased focus on corporate governance in both the United States and Canada. The Board of Directors has approved a set of corporate governance guidelines to promote the effective functioning of the Board of Directors and its Committees and to set forth a common set of expectations as to how the Board should manage its affairs and perform its responsibilities. Gammon Gold has also adopted a Code of Business Conduct and Ethics that is applicable to all directors, officers and employees of Gammon Gold.
Copies of the Code of Business Conduct and Ethics, the Corporate Governance Guidelines and the mandates of each of the Committees of the Board, including the Audit Committee, the Compensation Committee and the Corporate Governance and Nominating Committee are available in the "Board and Committee Mandates" tab.
